Terms and Conditions for Education AI LLC – Policy Navigator

I. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the Policy Navigator product (“Policy Navigator” or “the Service”), operated by Education AI LLC (“we” or “us”). By accessing or using Policy Navigator, you agree to be bound by these Terms. If you do not agree with any part of the Terms, you must not use the Service. Use of Policy Navigator constitutes acceptance of these Terms, creating a binding agreement between you (the user) and Education AI LLC. We recommend that you read these Terms carefully.

II. Description of Service
Policy Navigator
is an AI-powered policy assistance tool that generates summaries and interpretations of public policy documents for informational purposes. The Service is designed to promote government and organizational transparency by making it easier to navigate and understand policies from sources such as state law, school district regulations, municipal codes, and other public documents. Users can query the system and receive natural-language explanations or answers based on the content of these documents.

Important Characteristics of the Service: 
1. Public Data Only: Policy Navigator’s knowledge base consists solely of publicly available policy documents. It does not include personal data, confidential records, or any non-public information. This means the answers provided are drawn from sources like published laws and official policies that anyone could access.
2. AI-Generated Responses: The summaries and answers you receive are generated by an artificial intelligence model (based on GPT or similar). While the underlying source content is authentic public policy text, the phrasing and explanation are produced by the AI.
3. Informational Use: The Service is intended to assist with research and understanding. It is not a substitute for professional advice or direct reading of the policy. Policy Navigator’s outputs are for convenience and general information, to support your own review of the actual policies.

By using the Service, you understand and agree that Policy Navigator may occasionally produce inaccuracies or omissions despite our efforts to ensure quality. The value it provides is in quick summarization and reference, but it remains the user’s responsibility to verify and interpret the official policy documents.

III. User Responsibilities and Appropriate Use

When you use Policy Navigator, you agree to do so responsibly and in compliance with these Terms and all applicable laws.

Users of the Service must:

1. Verify Critical Content: You acknowledge that any content provided by Policy Navigator could be incomplete or contain errors. Before relying on any output, you will check it against official sources (e.g., the actual text of the law or policy)​europeansting.com. This is especially crucial if the information will inform legal, compliance, or important organizational decisions. You are responsible for how you use the information.

2. Not Treat Outputs as Legal Advice: You agree that you will not treat the AI-generated summaries as professional or legal advice. The Service provides informational summaries only; you should consult qualified experts or authoritative texts for guidance on legal or policy matters. (See Section 8: Disclaimers.)

3. Use the Service for Lawful Purposes: You will not use Policy Navigator for any unlawful or harmful activities. This includes, but is not limited to, using the Service to violate any law or regulation, to facilitate plagiarism or academic dishonesty, or to generate content that is harassing, defamatory, or infringing.

4. Avoid Inputting Sensitive Data: You must not enter personal, private, or confidential information into Policy Navigator. The Service is designed for public policy content, and you should not attempt to use it with any non-public text that could raise privacy or security concerns. (For example, do not paste personal emails or non-public records into a query.)

5. Respect Intellectual Property and Usage Limits: You will not use the Service in a manner that infringes intellectual property rights. You also agree not to attempt to reverse engineer the system, overload it, or use automated scripts to scrape content. If the Service has usage limits (such as a maximum number of queries per minute or per day), you will adhere to those limits.

6. Account Security: If you register an account to use Policy Navigator (such as for a subscription), you are responsible for maintaining the confidentiality of your login credentials. Do not share your username and password with unauthorized persons. You must notify us immediately if you suspect any unauthorized use of your account. You are responsible for all activities that occur under your account.

7.Provide Accurate Information: If you provide any information to us (for example, during sign-up or payment), you agree that such information is accurate and up-to-date. You will update your contact or billing information if it changes, so we can manage your account and communicate with you effectively.

Failure to meet these responsibilities may result in suspension or termination of your access to Policy Navigator, at our discretion. We reserve the right to monitor usage for compliance (though we do not monitor the content of queries in a way that identifies you, as noted in our Privacy Policy). If we detect abuse or violation of these Terms, we may take appropriate action, including disabling your account or pursuing legal remedies if necessary. 

IV. Subscription Terms and Fees
Free Trial:
New users or organizations are may recieve a free trial of Policy Navigator. The trial period allows you to evaluate the Service with no obligation. After the trial expires, continued access to Policy Navigator requires signing up for a paid subscription (unless otherwise arranged with Education AI LLC in writing).

Subscription Plans: We offer subscription plans which may vary by the number of users, features, or volume of usage. Details of available plans and pricing will be provided at the time of sign-up or on our official website or proposal documents. By subscribing, you agree to pay the applicable subscription fees and any related taxes. Subscription fees are typically billed in advance on a monthly or annual basis, as per the plan you select.

Setup and Customization Fees: In some cases, especially for enterprise or institutional clients, a one-time setup fee or a fine-tuning fee may apply. For example, if your organization requests that we integrate a custom set of policy documents or tailor the AI model for your specific domain, we may charge a fee to cover the extra work. Any such fees will be communicated to you upfront and usually billed either at the start of service or along with the first subscription invoice.

Payment and Billing: You must provide a valid payment method (e.g., credit card or purchase order information) when signing up for a paid subscription. By providing a payment method, you represent that you are authorized to use it and you authorize us (or our payment processor) to charge the subscription fees to that method. If any payment is not received in a timely manner, or if your payment method is declined, we reserve the right to suspend or terminate your access to the Service. You are responsible for any applicable taxes, and we will charge tax when required to do so.

Renewals:
Subscriptions will automatically renew at the end of each billing cycle (monthly or annually) unless you cancel the subscription before the renewal date. The renewal will be at the then-current rate unless otherwise stated in your plan. We may adjust our fees or introduce new charges with at least 30 days’ notice to you (for example, by email or by posting notice in your account portal). If you do not agree to the new fees, you may cancel your subscription before the changes take effect.

Cancellation: You may cancel your subscription at any time by contacting us or using any self-service cancellation feature we provide. If you cancel, you will retain access until the end of the current paid-up period (unless we decide to issue a pro-rated refund at our discretion or as required by law). After that period, your account will revert to a limited access state or be closed. Note that fees paid are non-refundable. For instance, if you cancel mid-month or mid-year, you typically will not receive a refund for the remaining period. We believe the one-week free trial provides ample opportunity to evaluate the Service before committing to a paid plan. However, if you believe there are extenuating circumstances (e.g., serious service outage or other issues), please contact us at info@educationai.us – we value our clients and may address issues on a case-by-case basis.

Changes and Termination by Us: We reserve the right to modify the subscription offerings or fees, and to suspend or terminate the Service (or your account) in accordance with these Terms. If we terminate your account for violations of these Terms, you may not be entitled to a refund of fees already paid. If we discontinue the Service entirely, we will provide a pro-rata refund for any portion of a prepaid subscription that was unused, unless we provide an alternative service or solution.

V.. Intellectual Property and Content Ownership
Service IP: All intellectual property rights in and to Policy Navigator, including but not limited to the software, algorithms, AI models (excluding the third-party components), design, user interface, and compilations of data (e.g., the curated database of policy documents), are and remain the property of Education AI LLC or its licensors. The organization and presentation of the public policy information, as well as any unique enhancements (such as how the AI is fine-tuned or how results are delivered), are proprietary to us. These are protected by copyright, trade secret, and other applicable laws. Using our Service does not transfer ownership of any intellectual property to you. We are granting you a limited license to use the Service under these Terms.

Public Documents: The actual text of laws, regulations, and government policies that Policy Navigator accesses are public records and may not be subject to copyright by their nature. Education AI LLC does not claim ownership over the content of public domain or government documents included in the Service. Those remain under the ownership or stewardship of the issuing government or public body (or in the public domain, as applicable). Our contribution is in selecting, formatting, and making those texts searchable and summarizable via the AI. Any summaries or explanatory text generated by the AI are new content, but they are derived from public sources and created automatically.

User Content: Generally, users do not provide content into Policy Navigator except for the queries they ask. We do not claim any ownership over the questions you submit. However, by submitting queries or feedback, you grant us the right to process that input to provide the Service results and to use feedback to improve the Service. If you provide any suggestions, ideas, or feedback to us (for example, about new features or improvements), you agree that we may use and incorporate them without compensation or attribution to you. Any such contributions are given voluntarily.

License to You: As a user in good standing under these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Policy Navigator for your internal business or personal informational purposes. This license allows you to view the policy content and AI-generated summaries, and to use the outputs within your organization or research. You may, for instance, quote a summary provided by Policy Navigator in a report or use it to help draft a policy document within your organization. However, you may not:
- Reproduce or distribute Policy Navigator’s content in bulk or as a competing product. (For example, you cannot export large portions of our database or compiled summaries to create a public website or service that competes with Policy Navigator without permission.)

- Use the Service or its outputs for commercial purposes outside of your licensed use. Your subscription covers your internal use; you shouldn’t resell Policy Navigator’s responses to third parties as a service.

- Remove or obscure any notices or disclaimers in outputs that indicate the content was AI-generated or from Policy Navigator (if such notices exist).

- Use any automated system (like bots or scripts) to extract data or otherwise scrape the Service
beyond what is provided through normal use.

Third-Party IP: Some of the technologies and data used in Policy Navigator are provided by third parties (for example, the OpenAI language model, or possibly libraries and frameworks powering the application). All such third-party content remains the property of their respective owners. Your use of those components within our Service is subject to these Terms as well as any additional terms those third parties impose on end-users (though typically, those terms are passed through to us and we in turn make them part of our agreement with you—see Section 6 on third-party services). You agree to respect all intellectual property rights of third parties as well as those of Education AI LLC.

VI.. Third-Party Services and Dependencies
Policy Navigator integrates with certain third-party services and tools to function effectively. Key third-party components include the AI engine (e.g., OpenAI’s GPT API) and hosting and payment platforms. Your use of Policy Navigator means you also agree to the terms of these third-party services where applicable. For example, if OpenAI has usage policies or if our payment processor has terms for payers, you agree to comply with those when using our Service.

AI Engine: As noted, we use OpenAI’s services (or a similar AI provider) to generate the natural language responses. We have a contract with that provider to use their AI model, and we are bound by their terms not to misuse it. By extension, you must also not misuse the AI through our Service (for instance, you must not attempt to use the AI to generate disallowed content or input prohibited information, as described in Section 3). We are not responsible for the output or behavior of the third-party AI beyond presenting it to you as part of our Service. While we configure and control the prompts to some extent, the AI runs on the third-party’s servers. Any content the AI provides is subject to the limitations of that third-party service. We cannot guarantee uptime or availability of the AI provider, and there may be times the Service is limited by constraints from OpenAI or others.

Hosting and Data: We rely on cloud infrastructure providers to host the application and databases. Those providers (e.g., AWS or others) have their own security and operational terms. We ensure in our agreements that they will maintain confidentiality of our data and follow necessary safeguards. By using the Service, you acknowledge that your data (such as your account info or query content) may be transmitted and stored using these third-party infrastructure services. However, as stated in our Privacy Policy, no personal identifying information from you is being intentionally processed, aside from basic account data, and the content of queries is not stored long-term.

Payment Processing: If you enter into a paid subscription, payments may be processed by a third-party payment gateway (for example, Stripe, PayPal, or a similar service). These payment processors will handle your payment details subject to their own terms and privacy policies. We do not store your full credit card information on our systems; that is handled by the payment processor for security. By paying for the Service, you agree to the payment processor’s terms as well. Typically, those terms aim to protect you and your data during transactions.

No Warranty on Third-Party Services: Education AI LLC has no ultimate control over third-party services’ operations. We are not liable for the acts or omissions of third-party providers. For instance, if OpenAI’s service goes down or if there’s a security incident on the cloud provider’s side that affects our Service, we will do our best to address it, but we cannot guarantee those third parties’ performance. Any third-party AI features are provided “as is” and governed by the third parties’ terms, and we make no express warranties on their behalf​.

VII. Termination
By User:
You are free to stop using Policy Navigator at any time. You may also cancel a subscription as described in Section 4. Termination of your account will mean you can no longer access subscriber features or the Service beyond any free elements that might be available.

By Us: We reserve the right to suspend or terminate your access to Policy Navigator with or without notice if you violate any of these Terms, if your use of the Service poses a security risk or potential legal liability to us, or if we discontinue the Service. In most cases, for minor issues we will attempt to notify and work with you to resolve the issue before termination. However, in cases of severe or repeated violations (for example, willful misuse, illegal activity, or infringement), we may disable your access immediately to protect our interests and those of other users.

If we terminate your paid subscription due to a violation of these Terms, you will not be entitled to any refund. If we terminate the Service entirely or terminate your subscription without cause (not due to your breach), we will refund any prepaid amounts for the period after termination.

Upon termination, the provisions of these Terms that by their nature should survive will continue to apply. This includes sections on Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law, among others.

VIII. Disclaimers
General Disclaimer of Warranties: Policy Navigator is provided “as is” and “as available” without warranty of any kind
. Education AI LLC disclaims all warranties and representations, express or implied, regarding the Service. This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee that the Service will meet your requirements, achieve any intended results, or be error-free or uninterrupted. Use of the Service is at your own risk. You understand that AI-generated outputs may not be 100% accurate, complete, or up-to-date, and we make no guarantee of correctness. We also do not warrant that the underlying information (the public documents) are current or free of mistakes (though we source from official publications, those can change). You agree that you will evaluate the accuracy and appropriateness of any output yourself and not rely on us to do so..

No Legal or Professional Advice: While Policy Navigator deals with policies, laws, and regulations, it is not a lawyer, and we are not a law firm. Nothing provided by the Service should be taken as legal advice, financial advice, or any other professional advice. The Service is a reference and research tool. Always consult a qualified professional or authoritative resource for advice pertinent to your situation. We expressly disclaim any liability for actions you take based on the Service’s output.

Important Legal Disclaimer (Policy Navigator): The following disclaimer is provided to emphasize the informational nature of the Service and the user’s responsibility to verify content:

“This policy advisor is for informational and conversational purposes only and does not constitute legal advice. All outputs must be verified against official relevant federal, state or local policies, and applicable labor agreements. AI-generated responses may contain inaccuracies and should not replace professional legal or administrative review. Final decisions should be based on a full review of authoritative sources and consultation with appropriate district leadership or legal counsel.”

By using Policy Navigator, you acknowledge and agree to the above statement. This specific example highlights a school district context, but the principle applies broadly: always verify the AI’s answers with official policy documents and involve human oversight for any consequential decisions.

Third-Party Disclaimer:
Any information or content accessed through Policy Navigator that links to or comes from third-party services (including the AI engine or any external references) is not under our control, and we are not responsible for it. We do not guarantee any third-party content’s accuracy or completeness either.

IX. Limitation of Liability
To the fullest extent permitted by law, in no event will Education AI LLC, its affiliates, officers, employees, agents, or licensors be liable to you for any indirect, incidental, special, consequential, or punitive damages (including damages for lost profits, lost data, business interruption, or the cost of substitute services) arising out of or related to your use of or inability to use Policy Navigator, even if we have been advised of the possibility of such damages.

Our total cumulative liability for all claims arising from or related to the Service shall not exceed the amount you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim or, if you have not paid us (for example, if you are in a trial or using a free version), $0. Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by law.

You acknowledge that the Service is offered at a relatively low cost (especially compared to professional consulting), and this limitation of liability is a fair allocation of risk. The Service’s outputs are informational, and it would be impractical and inconsistent with the nature of the Service for us to accept expansive liability for issues that could arise from incorrect or misinterpreted information. Your sole remedy for dissatisfaction with the Service is to stop using it.

X. Indemnification You agree to indemnify, defend, and hold harmless Education AI LLC and its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of Policy Navigator in violation of these Terms or applicable law; (b) any content you input into the Service (e.g., if you somehow introduced unlawful content); (c) your violation of any rights of any other person or entity through your use of the Service; or (d) any breach of your representations and warranties under these Terms. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations), and in such case, you agree to cooperate with our defense of such claim.

XI. Changes to the Terms We may modify these Terms from time to time. If we make material changes, we will provide notice to you by e-mail (if you have provided one) and/or by posting a notice within the Policy Navigator interface or website. The notice will designate a reasonable advance effective date for the new terms. It is your responsibility to review any updated Terms. If you continue to use the Service after an updated Terms effective date, it constitutes your acceptance of the changes. If you do not agree to the revised terms, you must stop using Policy Navigator before the new terms take effect. For clarity, no unilateral amendment will retroactively change dispute resolution agreed to in these Terms for any dispute then-pending unless you agree to it.

XII.. Governing Law and Dispute Resolution
These Terms and your use of Policy Navigator are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. This choice of law is due to Education AI LLC’s presence in Delaware and the context of the Service often relating to Delaware educational policies (among others), though the Service may be accessed from other locations.

Jurisdiction:
You agree that any disputes or claims arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the state or federal courts located within Delaware. You consent to personal jurisdiction and venue in those courts. We and you both waive any objections to jurisdiction or venue that are not based on lack of jurisdiction (for example, we won’t argue those courts are an inconvenient forum).

Remedies: Before filing a lawsuit, we encourage you to contact us to discuss the issue. Often issues can be resolved through communication. These Terms do not provide for any formal alternative dispute resolution like arbitration or mediation unless separately agreed, but we remain open to the possibility of resolving disputes informally or through a mutually agreed mediator if a conflict arises.

13. Miscellaneous
Entire Agreement:
These Terms, along with the Privacy Policy and any subscription agreement or order form you entered into (if applicable), constitute the entire agreement between you and Education AI LLC regarding Policy Navigator. They supersede any prior agreements or communications on the subject.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be interpreted to fulfill its intended purpose to the maximum extent permitted by law, and the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right. Any waiver must be in writing and signed by an authorized representative of Education AI LLC.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms (for example, in the event of a merger, acquisition, or transfer of assets) by providing notice to you. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights. Only you and Education AI LLC (and our successors) have rights or obligations under these Terms.

Force Majeure: Education AI LLC will not be liable for any failure or delay in performance of its obligations (excluding payment obligations) due to causes beyond its reasonable control, such as strikes, acts of God, war, terrorism, natural disasters, interruptions of telecommunications or Internet, or governmental action.

Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.
